1. Acceptance of Terms
By accessing or using WorkupWise ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
2. Important Disclaimer — Not Legal Advice
WorkupWise is an informational service. It does NOT provide legal advice.
The analysis, reports, and amendment letters generated by WorkupWise are produced by artificial intelligence for informational purposes only. They do not constitute legal advice, legal opinions, or attorney work product. No attorney-client relationship, privilege, or confidentiality obligation is created by your use of this Service.
3. No Attorney-Client Relationship
WorkupWise is not a law firm and does not employ or retain attorneys to provide legal services through this platform. No attorney-client relationship is created between you and WorkupWise, its owners, employees, or affiliates by your use of the Service. The AI-generated analysis should not be relied upon as a substitute for professional legal counsel.
4. Consult a Healthcare Attorney
You should consult with a qualified healthcare attorney licensed in your state before making any decisions based on the analysis provided by WorkupWise. This includes, but is not limited to, decisions about negotiating, signing, rejecting, or terminating employment contracts or offer letters. Physician employment contracts involve complex legal, regulatory, and financial considerations that require professional legal judgment.
5. Service Description
WorkupWise provides AI-powered analysis of physician employment contracts and offer letters. For each review, the Service delivers: (1) an analytical review report with clause-by-clause analysis, risk assessments, and benchmarking data; and (2) a draft amendment request letter. These deliverables are generated by artificial intelligence and are intended as informational starting points, not final legal documents.
6. Account Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
7. Credits and Payments
The Service operates on a credit-based system. You purchase credits through our payment processor (Stripe), and each review consumes one credit. Available packages include:
- Standard — 1 credit
- Two-Pack — 2 credits
- Three-Pack — 3 credits
All prices are in US dollars. Payments are processed securely by Stripe. WorkupWise does not store your credit card information.
8. Credit Expiration
Purchased credits expire 12 months from the date of purchase. Expired credits cannot be used and are not eligible for refund. You can view your credit balances and expiration dates on the Credits page of your account dashboard.
9. Refund Policy
If the Service fails to process your document due to a technical error, your credit is automatically restored to your account. No refunds are issued for successfully completed reviews, as the deliverable (analytical report and amendment letter) has been provided. No refunds are issued for expired credits. 10. Acceptable Use
You agree to use the Service only for its intended purpose: reviewing physician employment contracts and offer letters. You agree not to:
- Upload illegal, obscene, or harmful content
- Upload documents that you do not have the right to share
- Attempt to circumvent security measures or access controls
- Share your account credentials with others
- Use automated tools, bots, or scripts to access the Service
- Reverse-engineer, decompile, or attempt to extract the AI models or prompts
- Use the Service output to train competing AI models
11. Data Handling and Privacy
Your use of the Service is also governed by our Privacy Policy. Uploaded documents are processed by AI (Anthropic Claude), stored in encrypted cloud storage, and are not used for AI model training. You may request deletion of your data at any time by contacting us.
12. Intellectual Property
You retain all rights to the documents you upload. The analysis, reports, and amendment letters generated by the Service are licensed to you for your personal use. You may share these deliverables with your attorney, employer, or other parties as you see fit. WorkupWise retains ownership of the Service, its AI models, playbooks, and underlying technology.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKUPWISE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SPECIFIC REVIEW GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL WORKUPWISE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WORKUPWISE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Indemnification
You agree to indemnify and hold harmless WorkupWise and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
15. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Unused credits are not refundable upon termination.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
